Huntington Automated Assistant Agreement

This Huntington Automated Assistant Agreement (“Agreement”) is between you and The Huntington National Bank and its subsidiaries and affiliates (referred to as “Huntington” or “we” throughout). This Agreement contains the terms and conditions that govern your use of the Huntington Automated Assistant (“the Service”). Please read this Agreement carefully and retain a copy for future reference. By using the Service, you agree to be bound by this Agreement. If you do not agree with this Agreement, please do not utilize the Service. The Service is for use with Huntington services and communications only and is not for use with The Huntington Investment Company services or communications.

I. How the Service Works

The Service is an automated assistant feature available within huntington.com and/or by logging into online banking (the "Digital Properties") that can help you with certain questions related to online banking or help you reach a Huntington Customer Solution Center Representative. If you initiate a session, the Service will communicate with you via written responses within the chat session.

II. Eligibility

You must be age 13 or older to interact with this Service. You may access the Digital Properties. Some or all of the Service’s capabilities may not be available for certain accounts or customers within our Digital Properties. We have the right to determine eligibility and to restrict accounts that can use the Service at any time and in our sole discretion.

III. Personal Information Collection and Use Notice

Interactions with the Service are governed by our Online Privacy Policy at https://www.huntington.com/Privacy-Security/privacy-policies/privacy-policy. Huntington informs individuals about the categories of personal information it may collect as well as the purposes for which the personal information is used. Huntington collects the following categories of personal information from individuals: behavioral (e.g., purchase history, leisure activities and interests, shopping preferences, inferences); contact and biographical (e.g., first name, last name, maiden name, mailing address, phone number, email address, date of birth); demographic (e.g., household information); employment (e.g., occupation, job title); financial (e.g., account number, transaction history, credit history, credit score); government-issued identifiers (e.g., social security number, driver’s license number, passport number); location (e.g., geolocation); medical and health (e.g., health insurance account number, medical payment information); payment card (e.g., credit/debit card number, expiration date, card verification number); protected classifications (e.g., racial or ethnic origin, legal status); unique persistent identifiers (e.g., IP address, cookies, login credentials, biometric information); and user activity (e.g., information regarding interaction with Huntington websites, call logs, content of emails and text messages with Huntington colleagues).

Huntington collects the following categories of sensitive personal information from individuals: sensitive identification numbers (e.g., social security number, driver’s license number, passport number); access or log-in credentials (e.g., account log-in or financial account number in connection with password, security code, or access code); precise geolocation; racial or ethnic origin; religious or philosophical beliefs; biometric data; and health information.

Huntington collects and uses personal information for the following purposes: to provide, maintain, and/or service an account; to improve and/or develop our services and products; for marketing purposes; for data analytics or internal research purposes; for debt collection purposes; to comply with legal and regulatory requirements and guidance; for fraud prevention or account security purposes; and to manage customer concerns and complaints.

Huntington stores personal information in a system of record and has retention requirements associated with those records. Huntington retains personal information to comply with legal obligations; to help to ensure security and integrity; to enable uses that are reasonably aligned with the expectations of the individual based on the individual’s relationship with Huntington and compatible with the context in which the consumer provided the information. Aside from service providers and contractors, Huntington does not permit third parties to control the collection of personal information.

You acknowledge that we may share your Service interactions to comply with the law, subpoena or court order, and will do so in accordance with applicable law.

IV. Recording and Retaining Interactions

To use the Service, you acknowledge that you will have to type or use dictation to send written messages to the Service and you will receive written responses while in the session. Once you initiate an interaction with the Service, we will maintain a record of your interactions. By using the Service, you agree and consent to Huntington transmitting, collecting, transcribing, maintaining, processing and using this information for this Service and Service enhancements. You should not include confidential or sensitive information, like your social security number, bank account numbers, PIN, date of birth, credit card account numbers, etc., in chat sessions with the Service.

V. Information Provided by the Service

The Service may greet you and provide suggestions, information and other insights to you when you initiate a session. Information provided is for informational purposes only. You are responsible for reviewing the information that the Service displays on the screen and confirming that it accurately reflects your requests or instructions. Please carefully review interactions with the Service, as it is possible that the Service may misunderstand you at times, may not have complete information related to your request, may otherwise make a mistake in responding to you, or the technology may simply not work. The Service is only able to take actions and offer suggestions, information and other insights based upon the current or historical status of your accounts, which may not reflect the full scope of your financial situation. You can always confirm your account activity within online banking, or your account statements, and we encourage you to do so.

VI. User Conduct

You are solely responsible for any content of any kind you transmit via the Service. You agree not to use the Service or attempt to use the Service in any way that is prohibited, including but not limited to the following prohibited activities or conduct: (1) profane, abusive or threatening language or conduct; (2) violate any applicable local, state national or international law or regulations; (3) impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or identity; (4) violate any third party rights; or (5) promote or further criminal activity of any kind. You are solely liable and responsible for any acts or omissions resulting in prohibited activities or conduct.

VII. Notification of Change in Terms

This Agreement will stay in effect until it is changed or terminated. We may change the terms of this Agreement at any time. We will post any changes to this Agreement within the Digital Properties. Your use of the Service after we have made such changes available will be considered your agreement to the change.

VIII. Questions or Disputes

You may direct any questions or disputes regarding your interaction with the Service by calling our toll-free number, 800-480-2265, or write to The Huntington National Bank, GW4W61 P.O. Questions or disputes related to account transactions are governed by the Huntington Online Services Agreement or any other applicable agreement you may have with us or our affiliates, such as an applicable deposit or credit account agreement.

IX. Live Agent Interactions

You have the option to initiate a chat session with a live Huntington Customer Solution Center Representative when available. Please follow the prompts within the Service to speak with a live Huntington Customer Solution Center Representative.

X. Disclaimer of Warranties

YOU AGREE YOUR USE OF THE SERVICE IS AT YOUR RISK AND IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. WE FURTHER MAKE NO WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE.

XI. Limitation of Liability

YOU AGREE THAT WE WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR SPECIAL DAMAGES, INCLUDING LOST PROFITS, REGARDLESS OF THE FORM OF THE ACTION OR THEORY OF RECOVERY, RELATED IN ANY WAY TO YOUR USE OF THE SERVICE EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

XII. Other Agreements

In addition to this Agreement, to the extent applicable, you agree to be bound by and comply with such other written requirements as we may furnish to you in connection with either this Service or products which may be accessed via this Service, including, but not limited to, the Consumer Deposit Account Agreement, the Huntington Online Services Agreement, other account agreements, end user license agreements, and with all applicable state and federal laws and regulations. To the extent there is a conflict between the terms of this Agreement and your applicable account agreements with us, the terms of your account agreement or Online Services Agreement will control except as may be otherwise stated herein.

XIII. Governing Law

This Agreement is subject to the laws of the state of Ohio, without regard to any principles of conflict of laws. You hereby submit to the jurisdiction of Ohio courts and waive any objection to venue with respect to actions brought in such courts. In addition, the Service will be subject to all applicable federal state laws and regulations. If any of the terms of this Agreement cannot be legally enforced, they will be considered changed to the extent necessary to comply with applicable law.

XIV. Severability

If any provision of this Agreement conflicts with the law under which this Agreement is to be construed or if any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, that provision will be deemed to be restated to reflect as nearly as possible to the original intentions of the parties in accordance with applicable law. The remaining provisions of this Agreement remain in full force and affect.

XV. Termination

We have the right to terminate this Service and Agreement at any time. We will ordinarily send you notice if any termination, but we are not required to do so unless applicable law requires notice.

XVI. No Waiver

If we fail to exercise any of our rights within this Agreement or applicable law, such failure will not waive any of our rights.

XVII. Assignment

Huntington may at any time assign or delegate its rights or duties under this Agreement. You may not assign your rights or obligations under this Agreement in any way without the prior written consent of Huntington.
